1. The Terms of Your Contract
These General Terms & Conditions (“Terms”) apply to the provision of services by Sixti Cloud (“we”, “us”, “our”) to you as a user and customer of our services (“you”, “your”).
Your contract with us for each Service consists of:
- These General Terms & Conditions;
- Any applicable Service-specific terms;
- Our Acceptable Usage Policy; and
- Our Privacy Policy.
These documents supersede all prior arrangements (whether written or oral) relating to their subject matter.
We may amend these Terms by providing notice and publishing updated versions on our website. If you continue using the Services after the notice period, you will be deemed to have accepted the changes.
- If a change benefits you, has a neutral impact, or is required for security or system integrity, it may take effect immediately.
- All other changes (including regulatory or legal compliance) will be made with reasonable notice.
2. Supply of Services
We will use reasonable endeavours to supply the Services in accordance with your Contract until terminated. We are not liable for delays or failures caused by third-party suppliers or changes in supply conditions.
Monthly Services renew automatically on a month-to-month basis. Fixed-term Services renew for the same term unless cancelled prior to renewal. If not renewed for a fixed term, Services will roll over monthly.
Where auto-renewal applies, we will provide notice and the ability to cancel before renewal. If cancellation is not received in time, the Service will auto-renew to avoid interruption.
Nothing in this Contract transfers pre-existing intellectual property rights (“IPR”). All IPR in materials produced by us remain our property. We grant you a perpetual, non-exclusive, royalty-free licence to use such materials solely for the purpose of using our Services.
You acknowledge that third-party suppliers may be used to provide Services. We may change suppliers at our discretion and may move or modify your data as reasonably required.
3. Secure Access to Our Systems
You must keep your login credentials secure and confidential. You are responsible for all actions performed using your credentials.
We may treat any instruction given using your login details as authorised by you.
You must notify us immediately of any unauthorised access. We are not liable for loss resulting from unauthorised use of your credentials.
You consent to our use of your login credentials for provisioning, migration, or maintenance of Services where reasonably required.
4. Your Obligations
- Provide timely cooperation and accurate information as reasonably required.
- Obtain all necessary IP rights, licences, consents, and approvals for your content, domains, and activities.
- Indemnify us for liabilities arising from reliance on materials, data, or instructions you provide.
- Maintain your own backups unless expressly included in your Service.
5. Fees and Payment
We may adjust pricing due to factors such as cost changes or service improvements. Notice will be provided via email. Fixed-term pricing changes apply at renewal. Monthly pricing changes apply after 30 days’ notice.
You authorise us to store and automatically charge your payment method for Services. You are responsible for keeping payment details current.
Fees paid for partial billing periods are non-refundable. Cancellation requires at least 3 business days’ notice before the next billing date.
Unpaid fees may result in immediate suspension. Overdue amounts may accrue interest at 12% per annum. Debt recovery costs may be charged to you.
Incorrect chargebacks may result in suspension and an administration fee.
6. Free Trials and Promotions
We may offer free trials or promotions at our discretion. Eligibility may be limited to prevent abuse.
If you do not cancel before the trial or promotion ends, Services may auto-renew and billing will commence.
Certain promotions or third-party products may be excluded from refund guarantees.
7. Termination
Either party may terminate at the end of a fixed term or by cancelling renewal where applicable.
Early termination of fixed-term Services does not entitle you to a refund unless required by law or Service Terms.
A one-time money-back guarantee may apply to first-term services (excluding domains, transfers, and dedicated servers), subject to stated timeframes and exclusions.
Termination requests may be submitted via the customer portal or by contacting support with verification.
Either party may terminate immediately for material breach, failure to remedy a breach, insolvency, or harassment/threatening behaviour.
8. Warranties
You warrant authority to enter this Contract where acting on behalf of another.
Services are provided on an “as is” basis. We do not guarantee uninterrupted, error-free, or attack-free Services.
Planned maintenance may affect availability. We will provide notice where reasonably practicable.
Nothing in these Terms excludes rights under the Australian Consumer Law. Where permitted, our liability is limited to re-supply or cost of re-supply.
9. Liability
Nothing limits liability for fraud, personal injury, death, indemnities, or liabilities that cannot be excluded by law.
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of data, profits, or goodwill.
Our aggregate liability is limited to the fees paid by you for the Services in the preceding 12 months.
10. General
Notices may be given by email, post, courier, or online messaging. Delivery is deemed in accordance with the method used.
We may assign or novate this Contract as part of corporate restructuring without your consent. You may not assign without our written approval.
We may subcontract obligations without releasing ourselves from liability.
This Contract is governed by the laws of New South Wales, Australia.
